Because we understand our clients' needs, we created the MLG&B HITS (Hi-Tech Start-Up) Program exclusively for the "best and brightest" young, hi-tech companies for an unprecedented partnership with our firm. Our experienced attorneys provide a variety of practical and sophisticated legal services in the areas of private, venture and public financings, technology licensing, SEC, mergers and acquisitions, tax, employment, and other corporate work.

FUNDING SOURCES
We introduce "seed" companies to potential sources of funding. Our experience in acting as counsel to numerous private placements, public offerings and venture capital deals has resulted in our having contacts with a varied network of financing sources.

VALUE ADDED ADVICE
We are also committed to providing value-added advice including strategic relationships, technology licensing, the protection of intellectual property rights through patent prosecution and trade secrets, etc. Our patent group has extensive experience in a range of areas including computer hardware and software, Internet and e-commerce, telecommunications and related business areas.

TEAM APPROACH
The MLG&B HITS Team is with the HITS client every step of the way because our team is tailored to meet our clients' changing needs. We recognize that legal advice must be customized to fit every stage of growth. In this exciting but competitive environment, companies not only need good solid legal counseling, but also need direction from a team of lawyers who can position companies strategically in the local and global arenas. Many of our attorneys are seasoned business and legal advisors who become directly involved in HITS companies, serving on their boards of directors, as general counsel to these companies, and occasionally as business consultants in connection with mergers and acquisitions, joint ventures and other corporate needs.

DEFERRED LEGAL FEES
Clients who are accepted to participate in the MLG&B HITS Program may receive a deferral of between 40% and 100% of the early-stage legal fees. The deferred fee is payable in the event of a substantial company financing. MLG receives warrants or other negotiated equity compensation in return for providing the deferred fee arrangement.
