Michael provides legal and business advice to "start-ups" with particular attention to emerging growth companies in the software, technology, media, and Internet fields. He provides strategic counseling on a variety of issues ranging from choice of entity and organizational issues to issues involving executive compensation, the protection of intellectual property and the structuring and negotiating of terms in venture capital financing transactions.

Michael is a member of Meltzer Lippe’s Corporate Law Group.  He concentrates his practice on corporate, securities and transactional business law.  Michael advises public and private companies in a broad range of business transactions, including mergers and acquisitions, venture capital financings, public offerings, private placements and intellectual property licensing.  Michael has a wide range of experience gained from providing representation to public and private companies in the computer software, biotechnology, retail, music, media, transportation logistics, industrial tool and restaurant industries.

Michael has structured and negotiated numerous merger and acquisition transactions and  represents issuers and investors in private placements of equity and convertible debt securities both domestically and offshore under Regulation D and Regulation S. Michael’s experience also includes providing counseling to a music and media magazine publisher in connection with its merger and subsequent financing by a public company and representing a publicly held industrial tool products company in multiple acquisitions.

Since joining Meltzer Lippe, Michael has represented clients in transactions involving the merger of a privately held transportation logistics provider into a publicly held company, the acquisition by a public company of the intellectual property assets of a Taiwanese corporation, the $75 million purchase of assets of a privately held bio-technology company by a multinational corporation, the preparation of SEC filings including a registration statement for the resale of convertible debentures and common stock, a going private transaction for a NYSE listed company, and Section 1031 exchange transactions, involving a real estate portfolio valued in excess of $200 million.

In addition to his transactional practice, Michael provides legal and business advice to start-ups and emerging growth companies in the software, technology, media, and internet fields.   He provides strategic counseling on a variety of issues ranging from choice of entity and organizational issues to issues involving executive compensation, the protection of intellectual property and the structuring and negotiating of venture capital financing transactions.

Michael also handles general matters on behalf of his clients, including negotiating and drafting supplier, shareholder, distribution, employment, consulting, confidentiality, web site development and license agreements.
Michael joined Meltzer Lippe after having practiced corporate and securities law at firms in New York City and Denver, Colorado.  Michael is an active member of LISTnet (Long Island Software and Technology Network) and serves on its Business Excellence Strategies & Trends Committee.  In 2005, Michael was selected as one of Long Island Business News’ top 40 business people under 40.  While a student at St. John’s University School of Law, Michael was a staff member and an editor of the New York International Law Review.
