Ira is co-head of the Corporate Law Group with extensive experience representing public and private companies engaged in complex mergers and acquisitions, public offerings, private placements, corporate financings, venture capital investments, restructurings and other commercial transactions.
His merger and acquisition experience includes the representation of buyers, sellers, investors, boards of directors, audit committees and financial advisors in structuring, negotiating and completing complex purchases and sales of businesses and spinoffs of subsidiaries and divisions to shareholders.
Ira also has substantial experience representing underwriters and U.S. and non-U.S. issuers in public and private offerings of equity securities including initial public offerings and preferred stock issuances, both investment-grade and high-yield debt, convertible securities and unit offerings.
Ira represents institutional lenders and borrowers in connection with bank, asset-based and non-traditional financing for business enterprises.
He also represents private investment entities in connection with their organization and their acquisition and disposition of investments. His experience includes partnership and limited liability company law.
Ira represents a variety of business enterprises and individuals on an ongoing basis in their general corporate and securities matters including organization of new business ventures, '33 and '34 Securities Acts filings, NYSE, Nasdaq and NASD submissions, corporate governance matters, executive compensation matters, proxy solicitations, debt and equity consent solicitations, confidentiality and non-competition agreements.
Before joining Meltzer Lippe, Ira was Counsel in the New York office of Weil, Gotshal & Manges LLP and prior to that was an Associate in the New York office of Kay, Scholer LLP.
Ira is also a Certified Public Accountant, and served as Vice President and Chief Financial Officer of several New York and Long Island companies over an eleven-year period. Ira began his accounting career at KPMG, where as an Audit Manager he was responsible for supervision of staff and administration of services to public and private client companies.
Ira serves as General Counsel to and is a member of the Board of Directors of the Long Island Software & Technology Network (LISTnet) and the Long Island Life Sciences Initiative (LILSI) and is on the Board of Directors of the Institute of Management Accountants (IMA) - Long Island Chapter. Ira is also a founding Trustee in the CEO Trust and a member of the Nassau County Bar Association.
Ira was named by Long Island Business News as one of Long Island's top lawyers in its listings of "Who's Who in Law" and Who's Who in Corporate Law". He has authored numerous articles on topics ranging from securities law to ESOP's and has been quoted in Long Island Business News, MarketWatch.com and newspapers across the country.
Ira lives in Dix Hills with his wife, Judy, a computer systems analyst, and sons, Bruce and Greg. He enjoys golf, skiing, reading and spending time with his family.
